1. Overview

This website is operated by Mila’s Jewelry LLC, doing business as Elfbeads. Throughout these Terms, “Elfbeads,” “we,” “us,” and “our” refer to Mila’s Jewelry LLC.

These Terms of Service govern your access to our website, online store, products, accounts, communications, promotions, rewards, and related services collectively referred to as the “Service.”

By accessing the website, creating an account, or placing an order, you agree to these Terms and to our Privacy Policy, Shipping Policy, Return and Refund Policy, and any additional terms displayed during checkout or in connection with a particular product or promotion.

If you do not agree, you may not use the Service.

Our online store is hosted by Shopify, which provides the ecommerce platform through which we offer our products.

2. Eligibility and Accounts

You must be at least the age of legal majority in your jurisdiction to place an order.

You agree to provide accurate, current, and complete account, billing, payment, and shipping information. You are responsible for protecting your account credentials and for activity occurring through your account.

You may not create false or duplicate accounts, impersonate another person, use payment information without authorization, or create multiple accounts to circumvent purchase limits, promotion rules, reward restrictions, or account suspensions.

We may combine, restrict, suspend, or close accounts that appear duplicated, fraudulent, abusive, or contrary to these Terms.

3. Right to Refuse Service

To the fullest extent permitted by law, we may, in our sole discretion:

• Refuse or discontinue service.
• Reject or cancel an order.
• Limit purchase quantities.
• Restrict or terminate an account.
• Revoke access to promotions or rewards.
• Decline future transactions.

We may take these actions with or without prior notice and are not required to disclose confidential fraud-detection methods, security procedures, internal risk criteria, payment-provider information, or detailed reasons for our decision.

We will not exercise this right for an unlawfully discriminatory reason.

If we cancel a paid order before shipment, we will refund the amount paid for the canceled products, subject to normal payment-processing times.

4. Orders and Acceptance

Submitting an order constitutes an offer to purchase products under these Terms.

An automated order confirmation only acknowledges that we received your order. It does not mean that the order has been accepted.

Unless we expressly state otherwise, an order is accepted when we send a shipping confirmation or otherwise confirm acceptance.

Payment authorization or collection alone does not constitute acceptance.

Before an order is accepted, we may reject or cancel it because of availability, purchase limits, payment concerns, suspected fraud, pricing or technical errors, shipping restrictions, or other lawful business reasons.

If payment has already been collected for a rejected order, we will issue a refund.

5. Products and Availability

Products are subject to availability and may be limited, retired, restored, restocked, modified, or discontinued at any time.

Placing a product in a cart or wishlist does not reserve it.

We may limit purchases by person, account, household, address, payment method, geographic location, product, promotion, or period of time. We may reduce or cancel orders that appear intended to avoid those limits or that appear to be placed for unauthorized commercial resale.

We do not guarantee future availability, rarity, collectibility, secondary-market value, or resale value.

6. Product Appearance and Natural Variation

We make reasonable efforts to describe and photograph products accurately. Colors and details may appear differently depending on lighting, photography, screen settings, and magnification.

Elfbeads products may include handmade, hand-finished, individually assembled, or naturally variable elements. Individual pieces may differ slightly in color, glass pattern, texture, oxidation, dimensions, weight, finish, or placement of details.

These natural variations are part of the individual character of each piece and are not necessarily defects, provided the product materially corresponds to its description.

Measurements and weights are approximate unless expressly stated otherwise.

Elfbeads products are collectible jewelry and jewelry components, not toys. They may contain small parts and should be kept away from babies, young children, and pets.

7. Prices, Payments and Errors

Prices may change at any time before an order is accepted.

You authorize us and our payment providers to charge your selected payment method for the products, shipping, taxes, duties, and other amounts shown at checkout.

We may conduct payment, address, identity, and fraud verification before accepting or shipping an order.

Occasionally, product information may contain pricing, inventory, promotional, shipping, or technical errors. We may correct such errors at any time.

We are not required to honor an obviously incorrect price, discount, reward, shipping charge, inventory quantity, or promotional benefit resulting from an error. We may contact you with corrected terms or cancel the affected product and issue a refund.

8. Preorders and Shipping Estimates

Preorder, made-to-order, revival, restock, production, and shipping dates are estimates unless expressly stated as guaranteed.

Payment may be collected when an order is placed. Orders containing available and preorder products may be held until all products are ready unless otherwise stated.

If we cannot ship within the promised or legally required period, we will provide the notice, cancellation opportunity, or refund required by applicable law.

Federal rules require online sellers to have a reasonable basis for advertised shipping estimates and, when delays occur, to obtain the customer’s consent where required or refund the unshipped merchandise.

9. Shipping and Delivery

Available shipping methods, prices, processing estimates, and delivery estimates are shown in our Shipping Policy and during checkout.

Delivery dates are estimates unless expressly guaranteed. Carrier delays, customs processing, weather, incorrect addresses, labor disruptions, security inspections, and other circumstances outside our control may affect delivery.

You are responsible for providing a complete and accurate delivery address. Once an order has been processed or shipped, we may be unable to change or redirect it.

Where permitted by law, customers may be responsible for additional costs caused by an incorrect address, refusal of delivery, failure to collect a parcel, unauthorized redirection, or return of an undeliverable shipment.

Risk of loss and responsibility for damaged or missing shipments will be determined under applicable law and our Shipping Policy.

10. International Orders

Products, prices, currencies, shipping methods, duties, taxes, and payment options may vary by destination.

For eligible international orders processed through Shopify Managed Markets, Global-e may act as merchant of record, as disclosed during checkout. Additional transaction terms presented during checkout may apply.

We may restrict or discontinue shipping to any country, territory, person, or address because of legal requirements, sanctions, carrier limitations, fraud concerns, or operational considerations.

Nothing in these Terms removes mandatory consumer rights applicable in the customer’s country. For example, qualifying EU distance purchases generally carry a 14-day withdrawal right, subject to exceptions.

11. Returns, Promotions and Rewards

Returns, refunds, exchanges, cancellations, and store credits are governed by our Return and Refund Policy and applicable consumer law.

When part of a discounted, bundled, free-shipping, complimentary-product, or multi-buy order is returned, we may recalculate the order based on the products retained. Any lost discount, promotional value, or applicable shipping charge may be deducted from the refund where permitted by law.

Promotions are subject to their stated conditions. Unless expressly stated otherwise:

• Offers cannot be combined.
• Discounts are not retroactive.
• Complimentary products have no cash value.
• Purchase limits may apply.
• Returning qualifying products may require returning the complimentary product or having its stated value deducted.
• We may correct or cancel promotions affected by misuse, fraud, duplication, unauthorized distribution, or technical error.

Elf Gems and similar promotional rewards are not cash, legal tender, or paid gift cards. They may be adjusted or reversed following returns, cancellations, refunds, chargebacks, fraud, or errors and are subject to the published loyalty-program rules.

12. Intellectual Property

The Service and its contents are owned by Mila’s Jewelry LLC or used with authorization.

This includes the Elfbeads name and logo, product and collection names, artwork, jewelry concepts, photographs, videos, illustrations, product stories and descriptions, graphics, packaging, website content, and other brand materials.

Elfbeads® is a registered trademark of Mila’s Jewelry LLC in the United States and the European Union.

Without our written permission, you may not copy, reproduce, commercially use, scrape, distribute, modify, counterfeit, or create misleadingly similar versions of our products, content, photographs, descriptions, branding, or other protected materials.

You may not use Elfbeads content to train or develop artificial-intelligence or machine-learning systems without written authorization.

13. Reviews and Customer Content

When you voluntarily submit a review, photograph, video, testimonial, comment, or other content to Elfbeads, you confirm that you own it or have permission to submit it.

You grant Mila’s Jewelry LLC a nonexclusive, worldwide, royalty-free license to reproduce, resize, edit for format or length, publish, display, and share that content in connection with Elfbeads marketing, social media, advertising, and customer communications.

We may decline, moderate, hide, or remove submitted content. We are not required to publish, compensate, retain, or respond to a submission unless expressly agreed.

14. Prohibited Conduct

You may not use the Service to:

• Violate applicable law.
• Commit or facilitate fraud.
• Use stolen payment or identity information.
• Harass, threaten, abuse, impersonate, or defame another person.
• Infringe intellectual-property, privacy, or other rights.
• Upload malicious code or interfere with website operation.
• Circumvent security systems, purchase limits, promotions, or account restrictions.
• Scrape, crawl, data-mine, or automate purchases without permission.
• Manipulate reviews, rewards, referrals, inventory, or promotions.
• Conduct unauthorized resale, counterfeiting, or commercial exploitation.

We may block access, cancel transactions, preserve relevant evidence, notify service providers, or report suspected unlawful conduct.

15. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, the website, digital features, information, and third-party tools are provided “as is” and “as available.”

We do not guarantee that the Service will always be uninterrupted, secure, error-free, or current.

To the fullest extent permitted by law, Mila’s Jewelry LLC and its owners, employees, agents, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from use of the Service or products.

To the fullest extent permitted by law, our total liability arising from an order, product, or use of the Service will not exceed the amount paid for the product or order giving rise to the claim.

These limitations do not apply where liability cannot legally be excluded or limited.

Nothing in these Terms excludes warranties, remedies, product-conformity rights, privacy rights, withdrawal rights, or other consumer protections that applicable law does not permit us to exclude. Washington law, for example, substantially limits attempts by merchant sellers to disclaim implied warranties on personal or household purchases.

16. Indemnification

To the extent permitted by law, you agree to indemnify Mila’s Jewelry LLC and its owners, employees, representatives, contractors, and service providers against third-party claims and reasonable costs arising from your unlawful use of the Service, material breach of these Terms, infringement of another person’s rights, or fraudulent or malicious activity.

This does not require you to indemnify us for our own unlawful conduct.

17. Governing Law and General Terms

These Terms and transactions with Mila’s Jewelry LLC are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Subject to mandatory consumer-jurisdiction rules, legal proceedings must be brought in the state or federal courts located in King County, Washington.

This provision does not deprive consumers of mandatory protections available under the laws of their place of residence when those protections cannot legally be waived.

If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision does not waive it.

We may update these Terms by posting a revised version and changing the effective date. Changes apply prospectively unless applicable law requires otherwise.
